1. The agreement
The agreement is entered into between you (or the company you represent) and AVENOR CAPITAL CLARITY - FZCO, IFZA Business Park, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates (hereinafter “TalVagt”, “we”, “us”).
You confirm that you are authorised to enter into agreements on behalf of the company you create the account for, and that the information provided is accurate.
For businesses only
TalVagt is offered exclusively to businesses (B2B). The service is not directed at consumers, and consumer-protection rules, including rights of withdrawal, do not apply.
Changes to these terms
We may amend these terms. We give reasonable notice of material changes (at least 30 days) by email or in the service. Continued use after the effective date constitutes acceptance; if you disagree, you may cancel before the change takes effect.
2. The service
TalVagt is an autonomous AI bookkeeper that reads incoming invoices from your inbox, drafts journal entries, and — once you've approved them — posts them to your accounting system.
What TalVagt does for you
- Fetches invoices from your e-mail inbox via secure authorisation.
- Reads PDF attachments with an AI model and extracts invoice fields.
- Suggests an account, VAT code and description based on your chart of accounts and prior patterns.
- Posts to your accounting system once you've approved the proposal.
What TalVagt doesn't do
- TalVagt does not replace an accountant. The final responsibility for correct bookkeeping rests with you.
- TalVagt does not constitute tax or legal advice.
- TalVagt never posts automatically without your approval by default. If you choose to enable automation, it happens only within the rules and limits you configure yourself.
3. Account and responsibility
You are responsible for safeguarding your login credentials and for all actions taken through your account. Use of TalVagt requires active agreements with the systems you wish to integrate into TalVagt.
You must not share your account, API keys, or OAuth tokens with third parties.
4. Payment and subscription
TalVagt offers a 14-day free trial without requiring a credit card. No card is collected at signup. After the trial, access ends automatically unless you choose a paid plan — the subscription does not renew on its own.
Billing
The subscription is billed monthly or yearly in advance. Prices are in DKK excluding VAT, unless otherwise stated. Failure to pay may result in suspension of the account.
Price changes
We may change prices. Price changes are notified at least 30 days in advance and take effect no earlier than your next renewal. If you disagree, you may cancel before the change takes effect.
Fair use and overage
Plans include a fair-use allowance for, among other things, the number of documents, sales invoices and chat. If you exceed your plan's allowance, overage (e.g. per additional document) is billed at the per-unit price in effect, as stated on the pricing page.
5. Data and GDPR
TalVagt processes your data as a data processor for you. We sign a Data Processing Agreement (DPA) on request.
- Data is hosted in the EU.
- Personally identifiable information is automatically removed before anything is sent to the AI model.
- OAuth tokens and API keys are stored encrypted with libsodium sealed boxes.
- You can export all your data via API or request deletion by contacting us.
- TalVagt is always up to date with your financial data — syncs with your accounting system around the clock so no entry falls behind.

Intellectual property
The TalVagt platform, including software, models and design, belongs to us. Your data and content belong to you; you grant us only the licence necessary to provide the service to you.
6. AI-generated content
TalVagt uses AI systems (large language models) to read invoices and suggest entries. AI output is probabilistic and may contain errors.
You commit to reviewing each proposal before approval. When you click Approve, you confirm that you have reviewed and accepted the suggested entry.
7. Limitation of liability
TalVagt is provided “as is” without guarantees of uninterrupted operation or error-free function. To the extent permitted by applicable law, AVENOR CAPITAL CLARITY - FZCO's total liability is limited to the amount you have paid for the service in the last 12 months prior to the claim arising.
TalVagt is not liable for indirect losses, including lost profits, lost working time, lost goodwill, or fines from SKAT.
Force majeure
We are not liable for any failure to perform caused by circumstances beyond our reasonable control (force majeure), including outages at sub-processors, power or network failures, government action or natural disasters.
8. Termination
You can cancel your subscription at any time from Settings › Billing. The cancellation takes effect at the end of the current billing period.
TalVagt may terminate the agreement with 30 days' notice for misuse, breach of terms, or non-payment.
9. Governing law and venue
The agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Disputes are settled by the courts of Dubai.
